Perfectum sells its Tashkent head office for 98 billion sums ahead of the VEON takeover

Shareholders of Rubicon Wireless Communication, the operator behind the Perfectum brand, approved on 16 October the sale of its Tashkent head office and 2,012 items of fixed assets to the businessman Oybek Tursunov for 98.37 billion sums including VAT, about $8.3 million, Gazeta.uz reported on Monday. Three days later VEON announced its agreement to buy the operator for about $207 million including debt.

The disclosure was published on the corporate information portal on 23 October. It covers two sale contracts: the property complex at 21 Taras Shevchenko Street in Tashkent’s Mirabad district, on a plot of 7,283 square metres with four buildings of 10,479 square metres in all, valued at 65.97 billion sums including VAT, and 2,012 items of fixed assets for 32.41 billion sums, whose list the published text does not give.

The resolution names the buyer as Oybek Batirovich Tursunov and the total price as 98,374,503,360 sums including value added tax. It passed unanimously, with all 572.39 million voting shares represented at the extraordinary general meeting voting in favour.

Shareholders approved the asset sale three days before VEON announced its agreement to buy the operator. On 19 October VEON, which owns Beeline Uzbekistan, said it had signed to acquire 100 percent of Rubicon Wireless Communication for about $207 million, including about $93 million of Perfectum’s financial debt, which puts the price net of debt at about $114 million. The buyer of the shares is VEON UZB Holding Ltd, and the transfer runs through irrevocable bids on the over-the-counter system of the Tashkent stock exchange.

Uzbekistan’s Competition Committee has approved VEON’s purchase on conditions: the operator keeps its independence for at least three years, current 5G fixed wireless access tariffs are held for 12 months, and requirements on service quality and subscriber rights apply.

Shareholders approved the asset sale three days before VEON announced its agreement to buy the operator.

Perfectum’s shareholders, who are selling the company to VEON, thus sold its headquarters to a private buyer first. The disclosure does not say whether the two transactions are connected or whether the operator will lease the building it has sold.
